Terms of Service

These Terms are a general template and do not constitute legal advice. They are provided to describe the basis on which WoofPOS is offered. Please review them carefully, and consult your own advisor about how they apply to your business.

Agreement to terms

These Terms of Service ("Terms") form an agreement between you and WoofPOS and govern your access to and use of our website, application, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and "you" refers to that business.

Description of the service

WoofPOS provides software for dog-grooming businesses to take bookings, collect payments through a third-party payment processor, manage client and pet records, and send appointment notifications by SMS and email. We may add, change, or remove features over time as the Service evolves.

Accounts & eligibility

To use the Service you must create an account and provide accurate, complete, and current information. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You must promptly notify us of any unauthorized use. If you invite staff or other users to your account, you are responsible for their access and for their compliance with these Terms. You must be able to form a binding contract to use the Service.

Acceptable use

You agree to use the Service lawfully and responsibly. You will not:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Send messages to your clients without the consent required by applicable law. When you use WoofPOS to message your own clients, you are responsible for complying with SMS and email laws such as the TCPA and CAN-SPAM, including obtaining consent and honoring opt-out requests.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the Service.
  • Reverse engineer, resell, or misuse the Service, or use it to build a competing product.
  • Upload malicious code or content that infringes the rights of others.

Customer data & ownership

You own the data you enter into the Service, including your client and pet records, appointments, and notes ("Customer Data"). You grant WoofPOS a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to provide, secure, and improve the Service and as otherwise permitted by our Privacy Policy. You are responsible for the accuracy of Customer Data and for having the necessary rights and consent to collect and store information about your clients and their pets in the Service.

Payments & billing

Paid plans are billed on a subscription basis. Unless stated otherwise, subscription fees are charged in advance for each billing cycle and are non-refundable except where required by law. Fees may be exclusive of taxes, and you are responsible for any applicable taxes. Card payments — both your subscription payments and payments your clients make to you — are processed by a third-party payment processor, and additional processing fees may apply. We may change our prices with reasonable advance notice, effective at your next billing cycle.

Third-party services

The Service relies on third-party providers, including our payment processor and our SMS and email messaging providers. Your use of those features may be subject to the providers' own terms, and we are not responsible for their acts or omissions. We do not control and are not liable for third-party services you choose to connect to the Service.

Service availability & changes

We work to keep the Service available and reliable on a best-effort basis, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or reasons outside our control. We may modify, suspend, or discontinue features at any time, and will aim to give reasonable notice of material changes that adversely affect your use.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. You may export your Customer Data before your account closes; after a reasonable period, we may delete or de-identify it as described in our Privacy Policy. Provisions that by their nature should survive termination will do so.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that any data will be accurate or preserved. You are responsible for how you use the Service to run your business.

Limitation of liability

To the maximum extent permitted by law, WoofPOS and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless WoofPOS and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party — including claims related to messages you send to your clients.

Governing law

These Terms are governed by the laws of the jurisdiction in which WoofPOS operates, without regard to its conflict-of-laws rules. Any disputes arising out of or relating to these Terms or the Service will be subject to the courts of that jurisdiction, unless applicable law provides otherwise.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
